360 ONE: A Listing That Giveth in Carry and Taketh Away in Marks
Record wealth flows and a jump in retention hid a lower PAT — because the same NSE event that triggered carry income also punched a hole in the treasury book.

The listing that giveth — and taketh away
360 One Wam reported into a quarter that management introduced as "a very good evening" with a "good set of numbers," and on the franchise surfaces it was right. Total AUM crossed ARR AUM-driven scale at roughly INR 9,00,000 crore, up 31% year-on-year, and quarterly net flows climbed to INR 12,482 crore from INR 10,815 crore in Q1. Yet the bottom line went the other way: PAT came in at INR 302 crore against INR 316 crore a year earlier, on total revenue of just INR 853 crore, up 4.8%. The reason is a single, elegant paradox. Other income was minus INR 44 crore for the quarter, and the culprit was the mark-to-market on the treasury book — overwhelmingly the NSE stake. “roundabout fair value change on account of NSE is close to roundabout INR 110 crore-INR 120 crore, which is largely invested through our funds” — Karan Bhagat, Senior Leadership, Business Head · 2026-10-15, Karan Bhagat explained. But the same listing that marked the funds down also pushed two of the firm's funds into carry. “there is a little bit of a carry reversal on account of the carry which had already got recognized. But on the flip side, with the NSE listing, a couple of our funds have come into carry” — Karan Bhagat, Senior Leadership, Business Head · 2026-10-15. So one event simultaneously depressed reported profit and inflated a headline retention metric. That is the quarter in miniature.Retention optics and the transitory carry bump
That retention metric deserves a hard look. The firm's overall ARR retention improved to 79 basis points from 74 in Q1 — and the Carry income line is doing the lifting. Management was refreshingly candid that the improvement is not structural: strip out carry, and retentions are flat at 67 basis points. The wealth vertical showed the same pattern, improving to 79 from 71 basis points. Roughly INR 60 crore of carried interest from third-party funds landed in the quarter. This is a genuinely fresh theme for the business. In prior periods the firm's monetization story was about distribution economics and transaction and brokerage income; this quarter, carried interest from a marquee private-asset exit became a P&L swing factor that cuts both directions quarter to quarter. The tell is that transaction and brokerage income fell 9.1% year-on-year to INR 190 crore while carry did the compensating — a mix shift investors should track rather than extrapolate.Flows: a maturing wallet, UBS, and a new lieutenant
The more durable signal sits in the composition of flows. Bhagat flagged a first: the historical skew of 65-70% of flows from new mandates and 30-35% from deeper penetration flipped this quarter. That ties directly to the wallet share thesis and the firm's anchor ultra HNI franchise — a keyword that also appears among the market's top global themes for the quarter, and echoes rival ANANDRATHI.NS's own mention of the ultra HNI segment, suggesting this is a sector-wide institutional wealth moment in India rather than a 360 ONE quirk. The GIFT City build-out and new AIF launches (a multi-stage AI fund, a defence-and-space fund, RISE credit) are the plumbing behind it, mirrored by Anand Rathi's own GIFT City reference. The UBS collaboration is starting to convert. Having guided internally to about $600 million of two-way flows for the year, Bhagat said “around about $300 million-$325 million has happened over the last three months” — Karan Bhagat, Senior Leadership, Business Head · 2026-10-15, with roughly 40-50 basis points of retention expected on those flows. Separately, the arrival of Aashish Agarwal from Jefferies adds a heavyweight to a leadership bench that management insists will not redefine the operating model — but the cost-to-income guidance is telling. Bhagat said the additions should stay largely within "100-200 basis points" of the ratio, with the firm still walking the 48% target “towards the 46-47 number” — Karan Bhagat, Senior Leadership, Business Head · 2026-10-15.for the first time even though the flow number is quite healthy, we are quite excited about the fact that 50% of the flows actually came from enhancement of wallet share, and 50% actually come from new mandates.
The quiet retreat from TBR — and an ROE reset
The most under-appreciated line of the call was Bhagat's admission that the transaction-and-brokerage business is not a growth engine. After years of the firm leaning on TBR as a core monetization pillar, he essentially declared the category structurally smaller. He framed TBR as growing "late single digits to early double digits" — far below ARR AUM — and guided to a future where roughly INR 5,000 crore of revenue carries only INR 800-1,000 crore of TBR. What fills the gap is the cost to income discipline and, ultimately, capital returns: the firm's tangible ROE printed 16.9%, and management set a ~20% target over three-and-a-half years, contingent on doubling profits off a tangible net worth base that swells toward INR 10,000-12,000 crore after a UBS warrant conversion in February. That is a candid, somewhat deflationary framing: a wealth franchise that is winning flows and minting asset management scale while openly admitting its transactional revenue base is eroding and its ROE will grind back, not snap back. The market's themes for the quarter — the same ultra HNI wealth-creation wave, the same mutual fund side softness the firm conceded — are riding with this company. What is company-specific is the honesty about what has structurally gone away.I think what used to be TBR practically does not exist anymore... Now all of that has disappeared... Today, I think practically speaking, the components of TBR are very little.
