Associated Banc-Corp's First Buyback Since 2021 Is the Real American National Milestone
Q3 showed the integration can fund growth and capital return — if elevated payoffs stop masking the commercial pipeline.

The Capital-Return Tell
For most of Andy Harmening's tenure, Associated Banc-Corp was a growth-and-remix story: hire commercial bankers, grow households, fund loans with core deposits, and integrate American National. Q3 added a new chapter. The bank repurchased $100 million of stock at a weighted average $30.88 — “the first major share buyback we have since I joined the bank in 2021” — Andrew J. Harmening · 2026-10-22. That matters less for the roughly 2% of shares retired than for what it says: management now sees enough capital and earnings visibility to return capital while still growing. CET1 ended at 10.38%, inside the 10-10.75% target, and the CEO was explicit that “we are managing to our CET1 at 10% to 10.75%” — Andrew J. Harmening · 2026-10-22. The stock is no longer cheap — about 1.0x book, up 22% year over year — but the buyback says the bank believes the earnings power is durable. The tape is less convinced: ASB is 7.8% below its August peak and has returned just 1.6% over the last 90 days, a flat trend after a big multi-year run.Elevated Payoffs vs. the Pipeline
The quarter's top company keyword was elevated payoffs, and it captures the tension. Total loans grew just $53 million sequentially to $36.5 billion because commercial payoffs and paydowns offset solid production. The CEO conceded the quarter “overcame elevated payoffs in Q3 and grew relationship commercial loan balances” — Andrew J. Harmening · 2026-10-22, but argued the underlying machine is intact. Commercial pipeline is up 36-40% year over year, and CRE production has risen roughly 50%, though CRE payoffs are up about the same. “The number is 36 to 40%. In commitments, and it is higher than that when we look at funded portion of that.” — Andrew J. Harmening · 2026-10-22 The market has heard pipeline enthusiasm before. In July, management flagged a $150 million mortgage-warehouse inflow that “went back out” — Andrew Harmening, President and CEO · 2026-07-23 unexpectedly; in April, C&I pipeline was already up 20%. The difference now is that the pipeline is being converted into funded loans at a time when the acquisition adds scale. But until payoffs normalize, the 18-20% total loan growth guide is more an integration math statement than an organic run rate. The company's C&I loan growth story needs a cleaner quarter to prove the pipeline is not just a talking point.Deposits Do the Heavy Lifting
The better evidence is on the funding side. Core customer deposits rose 2%, about $700 million, and that allowed the bank to reduce wholesale funding. That is the whole model: core customer deposit growth funds loan growth, and the margin expands even as purchase-accounting accretion fades. NIM rose 3 basis points to 3.20%, and CFO Derek Meyer expects “a basis point or 2 quarter of organic expansion” — Derek S. Meyer · 2026-10-22 to continue. The latest filed numbers show the scale: net interest income of $370 million, up 23% year over year, on deposits of $39.9 billion, up 17%. Deposit costs were 2.46%; cumulative beta is about 55%, with management seeing a 52-57% range. That is not heroic, but it is the difference between a bank that has to buy money and one that can price rationally.Credit: A Conversion Smudge, Not a Crack
Credit was solid on the surface: provision $14 million, net charge-offs $18 million or 19 basis points, criticized loans down 7%/$121 million, ACLL ratio 1.34%. But two items need watching. Delinquencies rose because the auto portfolio's systems conversion forced some customers to re-enroll in ACH payments; the vast majority had never been late. “Total delinquencies increased relative to the prior quarter and the increase was driven not by credit quality issues, but by the temporary impact of a systems conversion of our auto portfolio requiring a segment of customers to reenroll in ACH payments.” — Patrick Ahern · 2026-10-22 Nonaccruals also rose, largely from a $30 million C&I credit reclassified after the SNC exam. Management says criticized loans still fell and the credit is largely resolved. Credit quality is not the reason to own or avoid ASB today, but a botched conversion can become one if those delinquency buckets do not normalize quickly. What Phase 3 Must Prove
The next catalyst is the 'phase 3' strategic plan, due in the coming months. The company is guiding 2026 noninterest income growth of 12-14% and expense growth of 19-20% — the latter inflated by acquisition costs and a Q4 step-up that analysts questioned. The buyback is an option, not a strategy; the real test is whether household growth, now seven consecutive quarters, can push toward the 2-2.5% range the CEO wants, and whether the commercial pipeline converts. For a $4.9 billion regional bank trading near book value, the first buyback in five years is a signal that the integration phase is ending. The next two quarters need to show it was not just a capital-return head fake.We have worked pretty darn hard to get to a 15% ROTCE. We have worked really hard to get to a 1.5 plus percent customer growth and the message now is after you go through a conversion, you go through a couple platform changes, hey, catch your breath, but catch it fast.
