Nasdaq’s Tokenized Future Is Already a Regulatory Fight
Record solutions growth and AI upsells can’t mask a 2% Market Services quarter—or the exchange’s break with the SEC’s innovation exemption.
NDAQ · Earnings Call · 2026-10-22
A quarter of two speeds
Nasdaq’s third quarter had the familiar shape of a solutions-led beat: “In the third quarter, we delivered $1.5 billion in net revenue, up 14% year-over-year, and solutions revenue of $1.2 billion, up 18%.” — Adena Friedman, Chair and Chief Executive Officer · 2026-10-22 Annualized recurring revenue rose 14% to $3.4B, diluted EPS rose 19% to $1.04, and Capital Access Platforms grew revenue 20% with index revenue up 39% on record ETP AUM above $1.1T. That is the Nasdaq investors have paid for: a data-and-index compounder attached to a regulatory moat. Then there is Market Services, the actual exchange business. “The division delivered net revenue of $309 million, up 2%, and representing a third quarter record.” — Sarah Youngwood, Chief Financial Officer · 2026-10-22 A record quarter that grows 2% is still a 2% quarter. Management pointed to strong U.S. equity capture and higher options and European cash volumes, but the division’s operating margin fell 5 points and the growth was not enough to change the mix story. The last filed quarter (Q2) shows the scale underneath: total revenue of $2.5B, up 21% year over year, with a 28.1% GAAP operating margin. Q3’s non-GAAP operating margin of 57% is a different accounting lens, not a different business.Agentic AI moves from demo to price list
The more important shift is that Nasdaq’s AI story is starting to have a price tag. Adena Friedman said Verafin now has more than 850 clients using its agentic AI workforce, with 70 paying clients, and that 25% of eVestment bookings year-to-date are tied to AI use cases. The company is using a freemium wedge—give clients limited usage, then charge for scale—and is now extending that model into Calypso and Surveillance. “I also would say in the data space, we are up charging. So if you are taking our data through an MCP connector, we are up charging for that MCP connector.” — Adena Friedman, Chair and Chief Executive Officer · 2026-10-22 That is a small but real monetization proof point for agentic capabilities and agentic workers. The contrast with the prior call is useful. In July, Friedman described the company as being in the “very early innings” of AI monetization: “we're in the very early innings of monetizing our AI capabilities” — Adena Friedman, Chair and Chief Executive Officer · 2026-07-23. Three months later, the language is more concrete: 70 paying clients, shorter-term contracts, and a deliberate plan to replicate the Verafin playbook across fintech. That does not make AI a revenue line yet, but it does move the story from option value to evidence. The cloud migration runway supports it: management says moving AxiomSL and Calypso clients to cloud carries roughly a 1.5x ACV uplift, and SaaS is now 38% of ARR. The expense guide was raised to $2.55B-$2.58B, so the monetization is not free—but the direction is consistent.Tokenization: from strategy slide to SEC fight
Tokenization was already a Nasdaq theme in prior quarters, but this quarter it became a regulatory confrontation. The company closed the acquisition of LeVeL on October 15, launched Digital Liquidity Networks, and reiterated that 23/5 trading starts December 6. It also plans to launch the Nasdaq equity token in the first half of next year. That is a lot of execution in a short window. The new element is the company’s open opposition to the SEC’s innovation exemption for tokenized securities trading. Friedman did not hedge:She also said Nasdaq will not include its own stock in TSVs and will opt out if approached. That is a sharper, more public stance than prior calls, which treated tokenization mostly as a design and infrastructure question. In April, management was still saying the first tokenized trades would be an “early phase” by year-end: “it's likely that this will still be an early -- kind of an early phase by the end of the year” — Adena Friedman, Chair and Chief Executive Officer · 2026-04-23. Now the company is trying to shape the rulebook, not just the plumbing. This is where Nasdaq is ahead of the broader market. The global keyword tape has tokenized stocks as a lower-tier theme, not a top-of-market consensus trade. Nasdaq is effectively underwriting a market structure that does not fully exist yet. That is strategically ambitious and financially uncertain: near-term tokenization revenue is more likely to show up in data and software demand than in Market Services, while the long-term prize is a new venue and settlement layer. Our view is that the innovation exemption does not. Well, it allows the issuers to opt out. The overall construct of the innovation exemption, we think is we are not supportive of. Let me just say it that way. So, it sits outside of all the general rules that govern the trading venues that trade U.S. equities today. None of the trades get reported to the tape.
