Teads splits the story: Enterprise and CTV surge, DR/SME collapses, guidance disappears
A deliberate pivot to higher-margin brand advertising collides with a 30% drop in legacy direct-response revenue and a suspended full-year guide.

A quarter of two Teads
Teads' second-quarter report is less a numbers miss than a declaration that the company has become two different businesses. For the first time, management explicitly split Ex-TAC gross profit into an Enterprise business — brands and agencies — and a Direct Response / SME unit that CEO David Kostman described as "close in line with our legacy Outbound business." “"Our Enterprise business, powered by Connected TV growth and omnichannel outcome solutions for global brand and agencies, is our primary growth engine."” The contrast was stark: Enterprise delivered $89 million of Ex-TAC, flat year-over-year, while Direct Response plunged 30% to $34 million. CFO Jason Kiviat underscored the direction of travel: “"It's important to note the divergence and trends we're seeing between customer types."” That DR/SME decline is the quarter's most consequential fact. Kostman attributed it to a stack of forces, some structural, some self-inflicted: “"Overall, on the premium side of our publishers, it varies by country. But I would say it's in the 15% to 25% of page view decline."” This continues a theme flagged since the AI-summarization era began. The company also absorbed the deliberate supply-quality reset it began in 2025, walking away from low-margin demand and lower-quality inventory. The combination has driven a 17% year-over-year drop in total revenue to $285 million. The company's answer to that contraction is to pour capital into the higher-margin Enterprise stack. Connected TV revenue grew 67% year-over-year to roughly $40 million, and now represents 13% of sales, up from 7% a year ago. Home-screen exclusives with LG and Samsung in multiple geographies — “"We have been at this for about two years working on a home screen. So we have exclusive in certain geographies with LG."” — are now being extended with TiVo Ads, VIDAA Japan, and Google TV. The strategic pitch is that CTV acts as the wedge for omnichannel deal-making: 16% of branding revenue now involves omnichannel packages, up from 9%. David also pointed to Teads Engage, an AI-powered operating system for publishers that "unifies content and ad inventory to monetize complete reader sessions rather than relying on volatile search-driven page views." Early tests with Penske, Arena Group, Scripps, and New York Post reportedly show "significant lift in yield." This is the clearest attempt yet to shield the business from the structural decline of referral traffic that Direct Response has been fighting. It also sets up the active dialogues management says it is having with major agency holding companies around AI and data integration — echoing earlier commentary: “"we're very focused around strengthening the depth of strategic integrations around data and ID with the agencies..."”Margin wobble, a suspended guide, and a stretched balance sheet
The quarter's operational headline was an adjusted EBITDA miss: $7 million, below the guided range. Kiviat attributed the miss roughly half to timing and half to transitional costs — T&E and marketing, a cloud migration, Israeli shekel FX, and elevated bad debt tied to the quality reset. Free cash flow still came in at $3 million, but the company noted "temporary cost pressures" and promised "a step down in costs in Q3." Free cash flow has flipped between positive and negative quarters over the past two years, and the latest $6 million (excluding SBC) is a far cry from the $14 million peak in mid-2025. The more important shift is that guidance was suspended. As Kiviat put it on the call:That is a retreat from the firm $100 million EBITDA target set just three months ago, and it underscores how quickly the DR/SME deterioration has overtaken the plan. It also leaves the balance sheet under pressure. The company holds $91 million in cash plus a $40 million revolver, but Effective net cash turned to roughly -$536 million, a swing of more than $700 million from the 2021 high. Liabilities-to-assets rose to 99.4%. Management said it continues to "evaluate our cost and capital structure for opportunities... and opportunistic alternatives to strengthen our balance sheet," language that has been present in several prior calls and hints a transaction may still be on the table."Given the volatility of the DR and SME business and as we execute on our strategic initiatives, we are suspending guidance, including with respect to our previously provided full year 2026 EBITDA guidance."
