Team Internet: A $160M Auction Sitting Inside a $101M Market Cap

Search is profitable again on agentic AI, Comparison is compounding, and the DIS sale alone may be worth more than the entire company.

The mismatch that matters

The most striking fact in Team Internet's H1 2026 call isn't in the P&L — it's buried in the strategic review. Management said on the call that the board has “reaffirmed its expectation that the value would materially exceed $160 million” — Michael Riedl, Group CEO · 2026-09-07 for the DIS division alone. The company's entire market capitalisation is roughly $101 million. That is the whole equity story compressed into one line: the piece being auctioned may be worth more than the business the market is pricing.

CEO Michael Riedl was pointed about the leverage he now holds over the process. The review is "at an advanced stage," multiple parties are engaged on all or parts of DIS, Evercore is advising, and any deal is expected to complete around year-end — but he refuses to be rushed:

We only own one DIS. We can only sell it once, and it will be at the right terms and conditions.

Michael Riedl, Group CEO · 2026-09-07

Crucially, nothing on the balance sheet forces his hand. The facilities agreement was amended in June so that no lender needs repayment until October 2027, and refinancing options exist even if the review doesn't lead to a liquidity event. This is a company negotiating from patience, not pressure — an unusual posture for a sub-$150M-cap name.

Search: an agentic-AI survival story

Search was supposed to be the casualty. Google sunset AdSense for Domains in April; the CEO confirmed it is now "negligible" and will be zero in the second half, with RSOC and related formats making up 90% of segment revenue versus just 24% a year ago. Yet the segment returned to profit in June and management says July and August continued "in a very similar vein."

What makes this substantive rather than boilerplate is the mechanism. agentic AI isn't a buzzword here — it's the difference between staying open and shutting the door:

The very consequential application of agentic AI is basically what has allowed us to stay in this market, whereas many other companies had to close the shop.

Michael Riedl, Group CEO · 2026-09-07

This is a clean confluence with the broader market. Across Know Trend's global keyword history, agentic AI has been climbing for multiple quarters, and this week's other reporters are converging on the same vocabulary — Asana's "Agentic Work Management," Snowflake's "Agentic enterprise," Zscaler's Agentic SecOps. Team Internet is riding a genuine thematic wave, but with a rare twist: it is using it to defend a legacy business rather than to launch a shiny new one. The CEO even framed the weaponisation directly — “we are beating the large language model vendors with their own weapons” — Michael Riedl, Group CEO · 2026-09-07 — pointing to pre-built Comparison pages that load faster and cost about 99% less to compute than live model inference.

Comparison and the second pillar

The real forward story sits in e commerce discovery. Comparison net revenue rose 38% and profit 56%, at a 68% EBITDA conversion to net revenue — operating leverage that management attributes to smarter conversion funnels, higher commission capture, and the same AI-driven cost discipline. The core markets of Germany, Austria and Switzerland represent only about 7% of global e-commerce, so internationalization is the multi-year engine; France is the proof point, having outgrown the German core. A U.S. portal has launched but remains negligible. Management framed the theoretical headroom as a 15x opportunity, tempering it sensibly.“Even if you only extract 10% of the potential, that would already imply 150% growth of the business over the next couple of years.” — Michael Riedl, Group CEO · 2026-09-07

Capital allocation and the option that costs nothing

Two inflows could reshape the capital structure at once. Beyond the DIS sale, Team Internet is pursuing antitrust damages claims where liability has been "established by final regulatory decisions." Management flagged that a “successful outcome would be material in the context of our current market cap” — Michael Riedl, Group CEO · 2026-09-07 — a free option that runs on its own track, independent of the sale. The sequence for proceeds is explicit: retire debt first, then return excess capital via buyback or special dividend, then reinstate the suspended dividend.

The near-term financial mechanics are less glamorous. Net debt rose to $117.6M from $87.6M at year-end on a one-off German tax settlement and a single non-renewed registry customer, but management guides it back to roughly $100M — near the $94M consensus — by year-end, leveraging Search's profitability and the deleverage that follows seasonally stronger H2 Search and Q4 e-commerce activity.

The honest caveats: no transaction is guaranteed, the antitrust timing is uncertain, and DIS volumes were deliberately traded for quality. But for a company whose market cap trades below the expected value of one division it is trying to sell, "no surprises" is not a platitude — it is the beginning of a re-rating thesis.
