Volati’s Growth Engine Is Humming; the Balance Sheet Is the Brake
Q3 2026 delivered 12% sales growth and 15% underlying EBITA growth, but M&A charges dragged reported profit and net debt/EBITDA rose to 3.1x, just above the 2–3x target.

The gap between reported and underlying is the story
Volati is a small-cap Swedish conglomerate that grows by buying niche industrial businesses and improving them. In Q3 2026 that model produced a familiar split: the top line grew 12%, but reported EBITA fell 23% to SEK 58m. Management argued the right number is the underlying one: “Reported EBITA came in at 58, which is below last year. However, more importantly, underlying EBITA grew 15% to SEK 87 million.” — Andreas Stenbäck, CEO · 2026-10-23 The difference is almost entirely M&A mechanics — transaction costs of SEK 8m and synergy-related restructuring in Ettiketto, where acquired production units are being co-located with existing ones. That is not a demand problem; it is the cost of integrating the acquisitions that are supposed to drive future earnings. The CFO was candid that growth in EBITA per ordinary share was -31% and ROE 13%, both tied to that reported number. The risk is timing: the savings start in early 2027, not now.Platforms are diverging sharply
The growth platforms are carrying the group. Ettiketto increased net sales by more than 50% and EBITA to SEK 64m, up 22%, but the margin fell from 18% to 14% because acquisitions like Interket came with lower margins. Management’s answer is the Ettiketto way — proven operating methods and co-location — and it expects the dilution to roll off after Q4. Corroventa was the standout: sales up 44%, EBITA up 68%, margin up about three percentage points, helped by Tramex, which also reduces weather dependency. Communication held steady with stable organic growth and flat margins, offsetting a cautious telecom market with sales into surveillance, defense and electrification. The trouble is the other two platforms. S:t Eriks sales fell 9% to SEK 290m as Volati deliberately walked away from less profitable product segments in a weak construction market; it maintained its EBITA margin, which management says proves the cost adjustments are working. Tornum sales fell 17% after the Lantmännen project fully rolled off, and the business faces low grain and pulp prices plus high fertilizer and diesel costs that are delaying customer investment. On the call, management was explicit that no near-term market recovery is assumed: “We are not expecting the end markets to drastically shift with regards to neither of those two platforms.” — Andreas Stenbäck, CEO · 2026-10-23 That matters because S:t Eriks and Tornum are the drag on group returns while Ettiketto and Corroventa absorb the integration costs.Leverage is the constraint — and the tell
The balance sheet is where the story gets interesting. Net debt to adjusted EBITA is 3.1x, above the 2–3x target range. Management frames that as deliberate: “Following this year's acquisition, the net debt to adjusted EBITA is now at a 3.1 ratio, and that is slightly above our target range.” — Charlotta Nyberg, CFO · 2026-10-23 The company has done three add-on acquisitions in 2026, adding SEK 575m of annual sales, and the pipeline remains good. But the phrase “balancing that pipeline with the leverage” is doing a lot of work. “We have a good pipeline. I am happy with that. What we are now doing is that we are balancing that pipeline with the leverage and the net debt ratio that we are seeing.” — Andreas Stenbäck, CEO · 2026-10-23 In practice, Volati needs the seasonally strong Q4 cash flow to delever and reopen the acquisition window. Cash conversion at 93% on a rolling 12-month basis is the supporting evidence that the model can self-fund — but it is also the reason the market will forgive a temporary leverage overshoot only if cash keeps converting. It's an extremely valid question, that as well. I think I've said, actually it's probably now the last two years or so, when we've been in the very upper range of our financial goal. We should be between 2x and 3x, and we have been now in the upper range, close to three. I've also said that we might end up in a situation where our individual quarters actually exceed that financial target slightly.
